Sales and Service Terms |
1、Definitions of the Seller and the Buyer:
The Supplier (the Seller):- Shanghai Fujima Electric
Motor Co., Ltd.
The Purchaser (the Buyer):- (Refer to any party
that has accepted the Purchase and Sales Contract
and has purchased the products from the Supplier)

2、Definitions of Products:
2.1 Definition of standard product
- A regular product refers to any product released
or published on the catalogues or website or CDs
of Fujima, or
- Any nonstandard product type that has been ordered
and produced for several times and has been officially
numbered by the Technical Department.
2.2 Definition of derivative product
- A derivative product refers to any product made
by modifying few parts of a regular product. It
does not need special design verification or type
testing to confirm the feasibility of the change.
For example:
1) Voltage or frequency change
2) Shape and dimension changes that will not result
in any change to core components or structure
3) Any other change that complies with the definition
2.3 Definition of new product
- A new product refers to a newly designed and developed
product that needs to meet a certain specific performance
indexes and pass specific tests to verify the design.
Whether a project is a derivative product or a new
product is subject to the definition by the Technical
Department of Fujima. |
3、Service Definition and Agreement
3.1 With the business philosophy of “Customer Value
First” in mind, Fujima will provide you with more
service items that are divided into paid services
and free services. Most service items are provided
for free. In principle, you only pay for the special
service items designated by you, because, for Fujima,
these services involve extra costs / expenses.
3.2 All these service items are designed for accomplishing
the following functions: Pre-sales
services:
- Assist you in understanding the products, product
functions and product performance/price ratios of
Fujima so that you can judge if these products are
suitable for your machines.
- Fujima engineers study the working requirements
of your machines and assist you in configuring a
drive system with a more reasonable performance/price
ratio.
The above service items are provided for free.
In-sales services:
- Shipment and delivery services
- Hotline technical support
The above service items are provided for free.
After-sales services
- When the product is sold and introduced for use,
Fujima will provide corresponding instructions and
support for free. In principle, this support item
is intended to enable you to normally use the product
and utilize its normal functions. The content of
this service item will be defined by Fujima.
If you request extra service items (e.g. field debugging,
etc) and the cost of these items exceeds the specified
ratio of the contract amount, Fujima will charge
a certain amount for the field services.
- If any abnormal condition occurs when the product
is in service at your side, Fujima will provide
hotline technical support to help you normally use
the product.
If the abnormal condition is caused by the quality
problem of the product and the quality warranty
period of the product has not expired, Fujima will
maintain or replace it free of charge. If the quality
warranty period of the product has expired, Fujima
can maintain/repair it. The quality guarantee period
is one year after shipment. But you will pay for
the maintenance/repair cost.
If the abnormal condition is caused by any misuse
on your part and cannot be eliminated by you, Fujima
can dispatch technical support staff to provide
you with field support. If the cost of handling
these problems exceeds the specified ratio of the
contract amount, Fujima will charge a certain amount
for the field services.
If the product is damaged due to any misuse on your
part, Fujima can maintain/repair it, but you will
pay for the maintenance/repair cost. |
4、Contract and Order Confirmation
Any sales contract must be made in writing and countersigned by both parties to it. Contract confirmation can be realized by any of the following approaches:
4.1 After having verbally confirmed the contract with you, the sales staff of Fujima can fill in the contract the needed contents, affix to it the contract seal of Fujima and fax it to you. After affixing your contract seal to or signing the contract, you can mail or fax it back to Fujima as the confirmation for the contract.
4.2 You can also fill in the needed contents in the contract prepared by you, affix your contract seal to it or sign it and then mail or fax it to Fujima whose sales staff will fax it back to you after having affixing to it the contract seal of Fujima as the confirmation for the contract.

5、Price and Payment
5.1 Principle for pricing
The purpose of sales is to gain profit. Profit is used to maintain normal operation of the company and to obtain resources necessary for sustainable development. So, the pricing principle shall be based on the operational cost and on the reasonable profit that reflects the added value of the product. It is undertaken by Fujima to make relentless efforts to continuously improve product sales and management, gradually lower operational costs and gradually reward the customers that provide us with long-term support.
5.2 Transactional prices
Prices shown on the catalogues, website or CDs of Fujima are for reference only. Fujima has the right to re-quote the prices for these products again on basis of the market price changes to raw materials and the actual operational conditions of Fujima.
If the product ordered by you is a nonstandard one and involves the modification of moulds and fixtures, you shall be responsible for the additional costs of the moulds and fixtures.
If you need us to provide paid service items, the amounts of the paid services must be confirmed by you and Fujima beforehand.
The actual transactional prices, the prices of paid services and the prices of moulds and fixtures shall be determined in writing in the sales contract.
5.3 Means of payment and ownership of commodities
The payment means shall be determined in writing in the sales contract.
The ownership of the contractual goods shall belong to the Seller before the Buyer has paid all the money for the goods under the sales contract.

6、Delivery and Acceptance
6.1 Delivery is regarded as having been completed after the Seller has sent the contractual goods to the place of delivery specified in the sales contract and the Buyer has signed for the goods.
6.2 Within seven (7) working days after the contractual goods have been delivered, if the Buyer does not send to the Seller any written notice of quality problems, the contractual goods shall be regarded as having been accepted by the Buyer.

7、Goods Return/Replacement
7.1 Goods returned/replaced due to quality problems
After it is confirmed by both parties that the goods have quality problems, the Seller shall unconditionally accept the returned goods, replace or repair them.
7.2 Goods returned/replaced due to non-quality problems
- Derivative products (nonstandard products) are customer-specific products, so they cannot be returned/replaced.
- Standard products cannot be returned / replaced if the package is already opened or the products are damaged.
- Standard products cannot be returned / replaced if the goods have been sold for more than one month.
- Standard products can be returned / replaced if they were wrongly ordered by the customer (or due to any other reasons) and the goods are still kept intact with accessories complete.
7.3 Disputed goods return
If any dispute arises from or in relation to the return of goods, both parties shall settle the dispute through friendly negotiations. Fujima, within a reasonable scope, will always respect the opinions of customers. In case no agreement can be reached between both parties, whether or not to return/replace the goods will be finally determined after a qualified testing agency or a testing organization recognized by both parties has tested the goods and issued a test report.

8、Confidentiality
8.1 The Seller shall keep confidential all of the Buyer’s purchasing information, including the details regarding the Buyer’s use of the Contractual Products, drawings and samples.
8.2 The Buyer shall keep confidential the details of the price and service terms for the Contractual Products.

9、Miscellaneous
9.1 These Terms and the corresponding sales contract apply to regular products and derivative products only.
9.2 These Product Sales and Service Terms are an integral part of the sales contract.
9.3 This document is subject to the interpretation by REALLAND.
